What This Means (2025 FDD)

According to Augusta Lawn Care's 2025 Franchise Disclosure Document, if you are an officer, director, employee, or independent contractor of the Franchisee, you must immediately stop using the Know-how related to the Augusta Lawn Care business if you are no longer associated with the Franchisee. The FDD defines "Know-how" as all trade secrets and proprietary information related to the Augusta Lawn Care business's development, construction, marketing, and operation, including methods, techniques, specifications, practices, procedures, policies, marketing strategies, information comprising the System, and the Manual. The "System" is defined as the system for the establishment, development, operation, and management of an Augusta Lawn Care Business.

This requirement is in place to protect Augusta Lawn Care's intellectual property and prevent unfair competition. The agreement emphasizes that protecting the Intellectual Property is vital to the success of Augusta Lawn Care and its franchisees. Unauthorized use of the Know-how could seriously jeopardize the entire franchise system.

This clause ensures that individuals who gain access to Augusta Lawn Care's confidential information through their association with a franchisee do not use that information to compete with the franchise system, either directly or indirectly, after their relationship with the franchisee ends. This is a standard practice in franchising to safeguard the franchisor's proprietary information and maintain a level playing field among franchisees.
