Proper site preparation is essential to the performance of the Hardware and no Hardware will be installed unless and until site preparation has been completed to the reasonable satisfaction of IHG.

What This Means (2025 FDD)
According to the 2025 Atwell Suites FDD, IHG's obligation to install hardware and software at the hotel is contingent upon the franchisee's timely completion of site preparations to IHG's reasonable satisfaction. Specifically, the franchisee must ensure the site is ready for installation and operation of the hardware, with readily accessible installation personnel. This includes providing the necessary electrical connections, power outlets, air conditioning, patch panel, and local area network cable installation as per the manufacturer's instructions or other documentation.
If the site preparation is not completed to IHG's satisfaction in a timely manner, IHG may invoice the franchisee $2,600 (which may be modified by IHG). Proper site preparation is crucial, as IHG will not install any hardware until the site meets their standards. This places the onus on the franchisee to ensure all preparations are meticulously executed to avoid delays and potential costs.
Furthermore, any delays in software or hardware installation caused by the Atwell Suites franchisee will not affect the franchisee's obligation to pay any fees or amounts due under the agreement. The franchisee is also responsible for the time and expenses of their employees assisting in the installation, as well as any additional expenses incurred by IHG or its service providers due to installation delays caused by the franchisee or their agents. The franchisee must also cover the travel, lodging, and meals (or a reasonable per diem meal allowance) for IHG's and/or the service provider's personnel.
