By executing this Participation Agreement in the space provided below, the parties agree to be legally bound by the terms and conditions of this Participation Agreement.
AGREED AGREED Six Continents Hotels, Inc. Hotel:
ATTACHMENT 1 FreedomPay Pass-Through Terms
Hotel acknowledges that FreedomPay, Inc. is the provider of the payment gateway services provided to Hotel under this Participation Agreement between IHG and Hotel. Hotel agrees to the following pass-through terms required by FreedomPay:
1. WARRANTIES
- 1.1. Hotel shall be responsible for procuring and maintaining, at its sole cost, all hardware, software and data communication and connectivity required to connect to the System.
Delivery of PCI-Validated Point-to-Point Encryption Secure Switching is subject to Hotel's compliance with the PIM and Hotel's acknowledgement thereof in the form set forth on Attachment 3.
In the event Hotel does not comply with any obligation under the PIM, IHG may, but shall not be obligated, to perform any such obligation or otherwise mitigate such non-compliance, in which event IHG may charge Hotel reasonable fees to compensate IHG therefor, including, without limitation, IHG's then current list price for the applicable services.
Further, a failure to comply with the PIM or the requirements of Section 3 below will result in the disallowance of the benefits to Hotel described in the PIM.

What This Means (2025 FDD)
According to the 2025 Atwell Suites Franchise Disclosure Document, the parties involved in the IHG Secure Payment Solution Participation Agreement include Six Continents Hotels, Inc. (IHG) and the Hotel (the Atwell Suites franchisee). This agreement allows the hotel to benefit from secure payment solution services agreed upon by IHG and FreedomPay.
Additionally, FreedomPay, Inc. is identified as the provider of the payment gateway services under this agreement between IHG and the Hotel. While IHG processes onboarding, administers payments, and facilitates support, FreedomPay is the actual service provider. The hotel accesses a hosted environment configured specifically for IHG and cannot customize it.
The Next-Gen Payments Solution, which replaces the previous secure payment solution, involves key third-party providers including FreedomPay, Oracle Corporation, Hewlett-Packard, Inc. (HPI), Hewlett-Packard Financial Services Company (HPFS), and Fiserv, Inc. The hotel procures the Next-Gen Payments Solution from IHG, which includes hardware, software, and services provided by these third parties.
