"Participation Agreement" means a joinder, subscription, or participation agreement executed between Licensee and a Service Provider to establish terms governing Hardware, Software, or Services provided by the Service Provider to Licensee in connection with an Enabling Agreement.

"Services" means any services enabled under this Master Technology Schedule, including the Core Services, Additional Required Services, and Optional Services.

What This Means (2025 FDD)

Based on the 2025 Atwell Suites Franchise Disclosure Document, a Participation Agreement is required to be executed between the Licensee and a Service Provider. This agreement establishes the terms that govern the Hardware, Software, or Services provided by the Service Provider to the Licensee in connection with an Enabling Agreement.

The Participation Agreement allows an IHG-branded hotel to receive the benefit of Secure Payment Solution services agreed upon by IHG and FreedomPay. FreedomPay will provide services in accordance with the terms of the Participation Agreement, including the FreedomPay Pass-Through Terms set forth on Attachment 1, which the Hotel must expressly agree to and accept. The hotel will also sign the PIM Acknowledgement set forth on Attachment 3.

Although IHG processes the onboarding of the hotel, administers payments, and facilitates support, FreedomPay is the actual service provider. The hotel accesses a single hosted environment configured for IHG and cannot customize it for individual needs. Payments, service requests, and other interactions with FreedomPay are routed through IHG, acting as a facilitator. The hotel will pay IHG a fee of $0.06 per transaction and a support fee of $140 per month.
