Note 20: IHG Commercial Services and IHG Revenue Services: IHG Commercial Services is a service that includes, but is not limited to: (1) revenue management advisory services; (2) Yielding, Pricing & Inventory Management advisory services; (3) sales & property support advisory services; and (4) digital marketing and activation services performed in cooperation with your Hotel. This program combines IHG Revenue Services with additional commercial and field marketing support.

If a Hotel is operated by a first time Atwell Suites® Hotel owner-operator or is converted from a competitor brand, the Hotel will be required to join IHG Commercial Services for at least the first year of operation of the Hotel.

All Atwell Suites® Hotels must participate in in IHG Revenue Services unless the Hotel has applied for and received an approved waiver. IHG Revenue Services includes but is not limited to:(1) revenue management advisory services; and (2) Yielding, Pricing & Inventory Management services performed in cooperation with your Hotel.

These services require the payment of additional fees. You must sign the IHG Commercial Services Agreement, or the IHG Revenue Services Agreement, each of which is attached as Exhibit G-2 to this disclosure document, as applicable. These agreements: (1) have a term of twelve (12) months from the effective date; (2) may be terminated by either party with ninety (90) days' advance written notice; (3) will also terminate if the Hotel engages with an uncertified third-party intermediary; and (4) automatically renew for successive one-year terms unless either party provides written notice at least thirty (30) days before the end of the then-current term.

If a Hotel has applied for and been granted a waiver from the required service, the waiver will be reviewed by Holiday on an annual basis. Waiver approval is also subject to review in events such as a change of ownership, management company or key personnel at the Hotel. Regardless of waiver status, all Hotels are required at all times to comply with applicable Standards for Revenue Management Certification and Sales staffing (including, but not limited, to the requirement to hire a Director of Sales). These requirements may vary for dual-branded Hotels.

Costs of between $30 and $120 per month may apply for competitive rate insight shopping. For Hotels currently subscribed to RevenueStrategy360 these costs may be waived.
