1.1. Engagement. Client hereby engages Quore to provide to Client internet-based subscription access to the Software developed and owned by Quore. The Software shall be used by Client only in connection with the business operations of the Hotels listed on Exhibit A attached to this Agreement. Client shall be allowed to operate the Software in order to store certain of Client's information and Data related to operation of the Hotels listed on Exhibit A on Quore's servers and/or on third-party servers or cloud application providers to be selected by Quore. Quore hereby accepts such engagement on the terms and conditions set forth herein. The Software shall be accessed and used only by Client through a Quore-designated access portal.

What This Means (2025 FDD)
According to Atwell Suites' 2025 Franchise Disclosure Document, Quore provides franchisees with internet-based subscription access to its proprietary software. This software is intended for use in connection with the business operations of the Atwell Suites hotels listed in Exhibit A of the franchise agreement. Franchisees can use the software to store information and data related to the operation of their hotels on Quore's servers or third-party servers selected by Quore. Access to the software is granted through a designated access portal.
This arrangement allows Atwell Suites franchisees to leverage Quore's software for managing and storing data related to their hotel operations. The franchisee is granted a non-transferable, non-exclusive license to access and use the Software during the Subscription Period, but only at the Hotels. They cannot sublicense the software or any of Quore's intellectual property rights to any other third party, including affiliated companies. The software is accessed via a Quore-designated portal.
Atwell Suites franchisees should understand that the license to use the software is limited and doesn't grant them ownership or the right to modify, copy, or distribute the software. The agreement explicitly prohibits reverse engineering, disassembling, or decompiling the software. Additionally, franchisees are responsible for maintaining the confidentiality of the software and preventing employees from breaching confidentiality provisions. IHG (InterContinental Hotels Group) will have access to all Client Data. This access is not considered a breach of either party's obligations under the agreement.
Quore retains all rights to the software, including the rights to access, use, make, sell, and import it during and after the agreement. The franchisee's rights are limited to accessing and using the software as specified in the agreement. Upon termination of the agreement, the franchisee must cease accessing the software and return all components, including documentation and access criteria, to Quore.
