What This Means (2025 FDD)
According to Atwell Suites' 2025 Franchise Disclosure Document, clients are strictly prohibited from reverse engineering the software associated with the franchise. The agreement explicitly states that clients cannot reverse-engineer, disassemble, decompile, or attempt to discover the Source Code at any time, whether before, during, or after the agreement. This restriction is in place to protect the intellectual property rights of Quore, the software provider.
This restriction means that franchisees must rely solely on the provided software and are not permitted to modify, alter, or attempt to understand its underlying code. This limitation ensures that the software's integrity and security are maintained, preventing unauthorized changes or potential misuse. Additionally, franchisees are also prohibited from assisting or aiding any third parties in reverse engineering the software, reinforcing the protection of Quore's proprietary technology.
The FDD also states that Quore owns confidential, non-public trade secrets associated with the Software that are not readily ascertainable from the Software itself. In the event a client is exposed to such trade secrets, the client agrees to keep such trade secrets confidential both during and after the Subscription Period. This obligation extends beyond the active subscription period, emphasizing the long-term commitment to protecting Quore's confidential information. Franchisees must be aware of these restrictions and ensure compliance to avoid potential legal repercussions.
Overall, these measures are designed to safeguard the software's integrity, protect Quore's intellectual property, and ensure that franchisees use the software as intended, without attempting to tamper with or reverse engineer it. Prospective Atwell Suites franchisees should carefully review these terms to understand their obligations and the limitations placed on their use of the software.
