E-Commerce Platform ("Provider") as Franchisor requires from time to time (including requirements authorizing independent access to the E-Commerce Platform and Usage Data by Franchisor). Currently, Franchisor has designated "Shopify" as the sole and exclusive E-Commerce Platform, but, as noted above, Franchisor reserves the right to change the E-Commerce Platform in the future.

What This Means (2025 FDD)
According to the 2025 Apricot Lane FDD, franchisees are required to execute agreements with the E-Commerce Platform provider. Specifically, the franchisee must execute and perform agreements ('Provider's Contracts') with the provider of the E-Commerce Platform ('Provider') as Apricot Lane requires from time to time. These requirements may include authorizing independent access to the E-Commerce Platform and Usage Data by Apricot Lane. Currently, Shopify is designated as the sole and exclusive E-Commerce Platform, but Apricot Lane reserves the right to change the E-Commerce Platform in the future.
Apricot Lane may, at its option, enter into the Provider's Contracts for the franchisee's E-Commerce Platform on behalf of the franchisee and act as the administrator. If Apricot Lane arranges the E-Commerce Platform, the franchisee must remit all fees, costs, expenses, and reimbursements required by the Provider to Apricot Lane or directly to the Provider, as directed. The franchisee must also comply with all terms and conditions of the Provider's Contracts and all mandatory policies issued by Apricot Lane or the Provider.
Upon termination or expiration of the Franchise Agreement, or termination of the franchisee's right to use the E-Commerce Platform, the franchisee must immediately terminate the Provider Agreements (if applicable) and comply with the post-termination obligations. They must also cease using the E-Commerce Platform, including marketing and sale of any merchandise, and the use of any and all Marks and Content in connection therewith. Failure to comply with these E-Commerce Platform provisions allows Apricot Lane to exercise all rights and remedies under the Agreement and applicable law, including terminating the Agreement or the franchisee's right to use the E-Commerce Platform.
