Notwithstanding the delegation of day-to-day operations, FRANCHISEE shall remain ultimately responsible for the operation of the Franchised Business and for supervising all managers. FRANCHISEE shall, at all times, faithfully, honestly and diligently perform its obligations hereunder and shall not engage in any business or other activities that will conflict with its obligations hereunder.
