What document must all owners in the Apricot Lane franchisee sign if the franchisee is not an individual?

Apricot_Lane Franchise · 2025 FDD

Answer from 2025 FDD Document

All owners in the franchisee if franchisee is not an individual must sign a Guaranty and Assumption of Obligations attached as Exhibit D to the Franchise Agreement personally guarantying and agreeing to be bound by the obligations under the Franchise Agreement to the same extent as the franchisee. If the franchisee entity and owner(s) of the franchisee entity do not satisfy the financial or management qualifications to become a franchisee based on their qualifications, we may require the spouse(s) of the owner(s) to sign the Guaranty and Subordination Agreement in order to satisfy our qualifications.

What This Means (2025 FDD)

According to Apricot Lane's 2025 Franchise Disclosure Document, if the franchisee is not an individual, all owners in the franchisee entity must sign a Guaranty and Assumption of Obligations, which is attached as Exhibit D to the Franchise Agreement. This document ensures that the owners personally guarantee and agree to be bound by the obligations under the Franchise Agreement to the same extent as the franchisee entity itself.

This requirement means that the franchisor, Country Visions, wants to ensure that individuals behind the franchisee entity are personally liable for the franchise's performance and adherence to the Franchise Agreement. This is a common practice in franchising, as it provides the franchisor with additional security and recourse in case of default or breach of contract by the franchisee. By signing the Guaranty and Assumption of Obligations, the owners are essentially putting their personal assets on the line to support the franchise's obligations.

Furthermore, Apricot Lane may require the spouse(s) of the owner(s) to sign a Guaranty and Subordination Agreement if the franchisee entity and its owners do not meet the financial or management qualifications. This condition highlights the importance Apricot Lane places on the financial stability and management expertise of its franchisees. It also demonstrates that Apricot Lane is willing to take extra steps to ensure that its franchisees are well-qualified and committed to the success of the franchise. This requirement could have significant implications for the personal finances and liabilities of the owners and their spouses, so prospective franchisees should carefully review the terms of the Guaranty and Assumption of Obligations and the Guaranty and Subordination Agreement with legal counsel.
