What This Means (2025 FDD)

According to the 2025 Apricot Lane FDD, the relationship between the Franchisor and the Associate is defined by an agreement that addresses nondisclosure of confidential information and trade secrets, as well as noncompetition with the Franchisor and its franchisees. The Associate agrees to the terms of this agreement as consideration for engaging in a business relationship with Apricot Lane or its franchisees, utilizing Apricot Lane's confidential information and trade secrets. This agreement is separate from the Franchise Agreement itself, although it is related to it. The Associate may or may not have signed the Franchise Agreement or Guaranty and Assumption of Franchisee's Obligations form.

The agreement specifies that the Associate will not engage in any competitive business during the term and renewal term of the Franchise Agreement. This includes having a direct or indirect controlling interest in a competitive business, performing services for a competitive business, or diverting business or employees from the Franchised Business, the Franchisor, its affiliates, or other franchisees. The Associate is also restricted from becoming an exclusive distributor for any third-party vendor or obtaining exclusive distribution rights for non-Apricot Lane products without the Franchisor's written permission.

Post-termination, the Associate is subject to a covenant not to compete for two years after the termination or expiration of the Franchise Agreement, or termination of the Associate's employment with the Franchisee. During this period, the Associate cannot have any direct or indirect interest in a competitive business. This restriction applies to the Associate's immediate family members as well. The agreement also defines key terms such as "Associate," "Competitive Business," and "Confidential Information" to provide clarity and prevent disputes over interpretation.

Overall, this agreement is designed to protect Apricot Lane's confidential information, trade secrets, and competitive advantage by restricting the Associate's activities both during and after their relationship with the Franchisor or Franchisee. Prospective franchisees should carefully review this agreement to understand the full scope of their obligations and restrictions.
