C. Failure to Complete Training

FRANCHISEE or FRANCHISEE's designated manager must complete the initial training to FRANCHISOR's satisfaction as determined in FRANCHISOR's sole discretion. If this obligation is not fulfilled, FRANCHISOR may terminate this Agreement in the manner herein provided, and at FRANCHISOR's election, assume the lease for the Franchised Premises and/or purchase all furniture, fixtures and other assets of the Franchised Business at cost, as agreed upon by the parties. If this Agreement is terminated pursuant to this Paragraph, FRANCHISOR shall return to FRANCHISEE the franchise fees paid by FRANCHI

What This Means (2025 FDD)

According to the 2025 Apricot Lane FDD, the franchisee or their designated manager must successfully complete the initial training program to Apricot Lane's satisfaction. This determination is made at Apricot Lane's sole discretion.

If the franchisee or their manager fails to complete the training to Apricot Lane's satisfaction, Apricot Lane has the right to terminate the Franchise Agreement. In the event of termination due to failure to complete training, Apricot Lane may elect to assume the lease for the franchised premises and/or purchase all furniture, fixtures, and other assets of the franchised business at cost, as agreed upon by both parties.

If Apricot Lane terminates the agreement due to failure to complete training, they will return the franchise fees paid by the franchisee, minus expenses incurred by Apricot Lane in connection with the agreement and its performance, up to a maximum of $5,000. This refund is contingent upon the franchisee executing a general release of any claims against Apricot Lane and related parties, and returning all copies of proprietary materials and confidential information to Apricot Lane. After such termination, the franchisee remains bound by the provisions and covenants outlined in Sections 9 and 18 of the agreement.
