What This Means (2025 FDD)

According to Apricot Lane's 2025 Franchise Disclosure Document, the Nondisclosure and Noncompetition Agreement must be signed by an "Associate." The document defines an Associate as someone involved with Apricot Lane or its franchisees in various capacities. This includes individuals who are officers, partners, directors, agents, managers, or employees. It also extends to those who are beneficial owners of the Franchise Business, or immediate family members or domestic partners of a principal owning a Franchise Business.

The agreement aims to protect Apricot Lane's confidential information and trade secrets by preventing Associates from disclosing this information or competing with the company. The Associate's agreement to these terms is considered partial consideration for being allowed to engage in a business relationship with Apricot Lane or its franchisees, utilizing the company's confidential information and trade secrets.

This requirement ensures that a broad range of individuals connected to the Apricot Lane franchise are bound by confidentiality and non-competition obligations. This is a common practice in franchising to safeguard the brand's proprietary information and market position. Prospective franchisees should be aware that these obligations extend beyond themselves to include those working in or closely associated with their business.
