What This Means (2025 FDD)

According to the 2025 Apricot Lane FDD, the amendment to the franchise agreement authorizes the franchisee to offer and sell fashion apparel, accessories, and other approved merchandise through the Internet. This allows the Apricot Lane franchisee to expand their business beyond the physical store and reach a wider customer base through an e-commerce platform.

The amendment includes specific conditions and requirements for operating the e-commerce platform. The franchisee's revenue from the e-commerce platform is considered part of gross revenues and is subject to royalty fees and advertising contributions. The royalty fee is set at 5.5% and the advertising contribution is 1%, even if the franchisee would normally be entitled to pay lesser amounts due to owning multiple Apricot Lane stores.

The franchisor has the option to enter into contracts with service providers for the franchisee's e-commerce platform and act as the administrator. The franchisee is responsible for remitting all fees, costs, and expenses to the provider, as well as complying with the terms and conditions of the provider's contracts and any mandatory policies. The franchisee must also maintain insurance policies for the e-commerce platform and indemnify the franchisor for any liabilities incurred in connection with it.

The Apricot Lane franchisee is required to use suppliers designated or approved by the franchisor for the design, management, and maintenance of the e-commerce platform. They must also adhere to the franchisor's standards for development, design, marketing, sales, and operations, as outlined in the Confidential Operations Manual. This includes policies related to quality, image, merchandise lines, digital media advertising, terms and conditions, photography, packaging, merchandise returns, and gift cards.
