What This Means (2024 FDD)
According to Aplus's 2024 Franchise Disclosure Document, the Guarantor expressly waives specific notices related to the debt and any actions taken by Sunoco. This includes waiving demands, presentments, notices of protest and dishonor, and notices of every kind, including those related to any action or non-action by the Debtor, Sunoco, any co-guarantor, or any creditor of the Debtor.
This waiver means that the Guarantor will not be entitled to receive any formal notifications regarding the Debtor's financial status, potential defaults, or any legal actions Sunoco might take to recover the debt. The Guarantor also waives the right to require Sunoco to take action against the Debtor or any security Sunoco may hold before pursuing the Guarantor. Sunoco can proceed directly against the Guarantor without first exhausting other remedies.
Furthermore, the Guarantor waives the right to require Aplus to proceed against the Debtor, any co-guarantor, or to utilize any security held by Sunoco. The Guarantor agrees that Aplus can pursue them directly for the guaranteed amount without taking any prior action against the Debtor or any security. This comprehensive waiver significantly increases the Guarantor's risk, as they may be held liable for the debt without prior notice or opportunity to influence Sunoco's actions against the Debtor.
In practical terms, this means the Guarantor needs to be fully aware of the Debtor's financial situation and ability to meet their obligations to Aplus. The Guarantor's liability is direct and immediate, without the usual protections of receiving notices or requiring the creditor to pursue other avenues of recovery first. Prospective franchisees should carefully consider the implications of this broad waiver before agreeing to act as a Guarantor for an Aplus franchise.
