What This Means (2024 FDD)

According to the 2024 Aplus Franchise Disclosure Document, Section 5.3 of the Development Agreement outlines the non-disparagement obligations of the franchisee and any owner. It states that the franchisee and any owner agree not to make any oral or written statement to the public or any third party that is false, negative, critical, or disparaging, either implied or expressed, which degrades the reputation of Aplus or its affiliates, owners, managers, board members, principals, officers, members, agents, or employees.

However, this non-disparagement clause does not prevent anyone from responding if required by law, subpoena, court order, or similar legal processes. This exception ensures that franchisees and owners can fulfill their legal obligations without violating the agreement.

It is important to note that the FDD excerpt does not specify the consequences or repercussions if a franchisee violates the non-disparagement clause. A prospective franchisee should seek clarification from Aplus regarding the specific actions or penalties that Aplus may take if the franchisee breaches this section of the Development Agreement. This information is crucial for understanding the full scope of the franchisee's obligations and the potential risks associated with non-compliance.
