As a partnership, we are generally not subject to federal income tax and most state income taxes. However, the Partnership conducts certain activities through corporate subsidiaries which are subject to federal and state income taxes. According to Aplus's 2024 Franchise Disclosure Document, Aplus, as a partnership, is generally not subject to federal income tax and most state income taxes. However, the document specifies that Aplus conducts certain activities through corporate subsidiaries, which are subject to federal and state income taxes. This means that while the partnership itself avoids direct taxation, some of its business operations are taxed through its subsidiaries.
This structure has implications for Aplus franchisees because the earnings or losses of the partnership, to the extent not included in a taxable subsidiary, are included in the tax returns of the individual partners.
