If we approve your application to develop multiple APLUS Stores, you will sign our standard development agreement ("Development Agreement," see Exhibit B). The Development Agreement will state the number of APLUS Stores to be developed and will establish a development timetable. You will sign a separate franchise agreement for each APLUS Store that you develop. You will receive a separate agreement if you choose to develop a SUNOCO fueling station. The franchise agreement for your first APLUS Store will be our current form of franchise agreement (see Exhibit A). The franchise agreement for your second and each additional APLUS Store will be the form then being offered to new franchisees, which may be materially different than our current franchise agreement.

According to Aplus's 2024 Franchise Disclosure Document, the standard development agreement is found in Exhibit B. This agreement is used when Aplus approves an application to develop multiple Aplus stores. The development agreement specifies the number of Aplus stores to be developed and establishes a development timetable for their opening.
For each Aplus store developed under the development agreement, a separate franchise agreement must be signed. The franchise agreement for the first Aplus store will be the current form of the franchise agreement, which is detailed in Exhibit A. However, the franchise agreements for subsequent Aplus stores may differ materially from the initial agreement, as they will be based on the form then being offered to new franchisees.
If a franchisee chooses to develop a Sunoco fueling station in addition to the Aplus store, they will receive a separate agreement specific to the fueling station. This highlights the flexibility Aplus offers in combining its convenience stores with fueling stations, but also emphasizes the importance of carefully reviewing each agreement, as the terms can vary.
