ITEM 12

TERRITORY

If you are awarded a franchise, we will grant you the right to operate an Antioch Pizza Shop Restaurant at a site and within a protected area to be approved by us. Your protected area will be an area within a specific radius from the approved site, the size of which will be approximately 5 ½ miles, depending on the demographics and density of the population in the area, and the proximity to other existing or future restaurants. Where population density is substantial, a protected area may be smaller than in areas in which population density is lower.

For the Food Truck/Trailer franchise, we will agree upon an area within which you will operate the mobile Food Truck/Trailer. The area will be described as a 5 ½ mile radius around a specified center point. You may not operate the mobile Food Truck/Trailer outside of your protected area, except with our prior written consent which may be subsequently withdrawn. In no event may you operate the mobile Food Truck/Trailer within the protected area of another franchisee.

Provided that you are in compliance with the Franchise Agreement, we will not open and operate, or franchise another party to open and operate, an Antioch Pizza Shop restaurant utilizing the Marks and the System in the protected area granted to you.

We, our affiliates, and other Antioch Pizza Shop franchisees are allowed to deliver food to customers located within the Protected Area. We, our affiliates and other Antioch Pizza Shop franchisees are permitted to advertise and promote their Antioch Pizza Shop restaurants within your protected area.

We reserve all rights that we do not grant to you. More specifically, we reserve the right to use other channels of distribution such as Internet sales, catering events, marketing events, trade shows and related promotional activities within and outside your protected area;

It's important to note that Antioch Pizza Shop retains certain rights within both the protected area and the Development Area. They, their affiliates, and other Antioch Pizza Shop franchisees are allowed to deliver food to customers within these areas and can advertise and promote their restaurants there. Antioch Pizza Shop also reserves the right to use other channels of distribution, such as internet sales, catering events, and marketing events, within and outside the protected area. They can also operate Antioch Pizza Shop businesses or similar outlets within shopping malls (100,000 square feet or larger), airports, train stations, and other non-conventional forums, without compensating the franchisee.
