- 6.2 Confidential Information. "Confidential Information" as used in this Agreement shall include information which we consider our trade secrets and confidential information, including information contained in our Operations Manual and any and all material and information pertaining to the System, and any other information, knowledge, know-how, materials or data that we designate as confidential or proprietary or as trade secrets.
We may disclose to you our Confidential Information under this Agreement.
- 6.3 Non-disclosure Agreement.
You agree that your relationship with us does not vest in you any interest in the Confidential Information other than the right to use it in the development of Antioch Pizza Shop Restaurants under this Agreement, and that the use or duplication of the Confidential Information in any other business would constitute an unfair method of competition, a breach of this Agreement and copyright infringement.
You acknowledge and agree that the Confidential Information belongs to us and our affiliate, is proprietary information, and may contain trade secrets belonging to us and our affiliate and is disclosed to you or authorized for your use solely on the condition that you agree, and you therefore do agree herein, that you: (1) will not use the Confidential Information during and after the term of this Agreement in any other business or capacity; (2) will maintain the absolute confidentiality of the Confidential Information during and after the term of this Agreement; (3) will not make unauthorized copies of any portion of the Confidential Information disclosed in written form; and (4) will adopt and implement all reasonable procedures we may prescribe from time to time to prevent unauthorized use or disclosure of the Confidential Information, including restrictions on disclosure to your employees and the use of non-disclosure and/or non-competition agreements we may prescribe for your employees who have access to the Confidential Information subject to applicable law.

What This Means (2025 FDD)
According to the 2025 FDD, the Antioch Pizza Shop agreement defines "Confidential Information" as information considered trade secrets and confidential. This includes information in the Operations Manual, all material and information pertaining to the Antioch Pizza Shop system, and any other information, knowledge, know-how, materials, or data that Antioch Pizza Shop designates as confidential, proprietary, or as trade secrets.
Antioch Pizza Shop may disclose Confidential Information to the franchisee under the Development Agreement. The franchisee's relationship with Antioch Pizza Shop does not grant them any ownership interest in the Confidential Information, other than the right to use it for developing Antioch Pizza Shop Restaurants under the agreement. The use or duplication of Confidential Information in any other business is considered an unfair method of competition, a breach of the agreement, and copyright infringement.
The franchisee acknowledges that the Confidential Information belongs to Antioch Pizza Shop and its affiliate and is proprietary information that may contain trade secrets. The franchisee agrees to maintain the absolute confidentiality of the Confidential Information during and after the term of the agreement, not to use it in any other business or capacity, and not to make unauthorized copies of any written Confidential Information. The franchisee must also implement reasonable procedures to prevent unauthorized use or disclosure, including restrictions on disclosure to employees and the use of non-disclosure and/or non-competition agreements for employees with access to the Confidential Information.
