What This Means (2025 FDD)
According to the 2025 Angry Chickz Franchise Disclosure Document, the Rhode Island Addendum to the Franchise Agreement is executed under specific conditions related to the franchisee or the franchise location. This addendum is integrated into the Franchise Agreement when (A) the offer or sale of a franchise was made in Rhode Island, (B) the franchisee is a resident of Rhode Island, or (C) the franchised business will be located in Rhode Island.
This addendum also includes specific stipulations regarding legal jurisdiction. It states that any provision in the franchise agreement that restricts jurisdiction or venue to a forum outside of Rhode Island or requires the application of laws from another state is void with respect to any claim enforceable under the Rhode Island Franchise Investment Act. This ensures that Rhode Island franchisees have the right to pursue claims under their state's laws within their own jurisdiction.
For a prospective Angry Chickz franchisee, this means that if any of the mentioned conditions are met, the Rhode Island Addendum will be part of their Franchise Agreement. It also means that certain clauses within the standard agreement that might force legal proceedings to occur outside of Rhode Island or under different state laws will not be applicable, providing a level of legal protection and convenience for franchisees operating in Rhode Island.
