Under what circumstances will Angry Chickz lend a physical copy of the Manual(s) to the Franchisee?

7.4.1 Company shall provide Franchisee access to the Manual(s) if in electronic form, or lend to Franchisee one copy of the Manual(s) if in tangible form, unless Franchisee has entered into this Agreement as a Successor Franchise Agreement. The Manual(s) may be delivered to Franchisee in any media utilized by Company for delivery of the Manual(s). The Manual(s) and all amendments to the Manual(s) (and copies) are copyrighted and remain Company's exclusive property. The Manual(s) are loaned to Franchisee for the Term, and must be returned to Company immediately upon the termination or expiration (including nonrenewal) of this Agreement. The Manual(s) are highly confidential documents which contain certain Confidential Information of Company. Franchisee shall not make, or cause or allow to be made, any copies, reproductions or excerpts of all or any portion of the Manual(s) except as reasonably necessary to perform Franchisee's obligations under this Agreement. Franchisee must immediately notify Company if all or any portion of the Manual(s) loaned to Franchisee is lost, or destroyed, or any electronic security measures are violated or breached. The Manuals contain both mandatory and recommended specifications, standards, procedures, rules and other information pertinent to the System and Franchisee's obligations under this Agreement. Specifications, standards, procedures, and rules that are recommended or are referred to as a "best practice" are not mandatory and Franchisee may adopt or reject the same in its discretion.

According to Angry Chickz's 2025 Franchise Disclosure Document, Angry Chickz will lend a physical copy of the Manual(s) to the franchisee if the manual is in tangible form and the franchisee has not entered into the agreement as a Successor Franchise Agreement. Otherwise, Angry Chickz will provide access to the Manual(s) in electronic form. The Manual(s) remain the exclusive property of Angry Chickz and are copyrighted.
The Manual(s) are loaned to the franchisee for the term of the agreement and must be returned to Angry Chickz immediately upon termination or expiration of the agreement, including nonrenewal. The Manual(s) are considered highly confidential documents containing confidential information of Angry Chickz.
The franchisee is prohibited from making unauthorized copies, reproductions, or excerpts of the Manual(s), except as reasonably necessary to fulfill their obligations under the Franchise Agreement. The franchisee must promptly notify Angry Chickz if any portion of the Manual(s) is lost, destroyed, or if any electronic security measures are violated.
