Can Angry Chickz operate Restaurants at Non-Traditional Venues within the Development Area?

- 1.3.2 Company expressly reserves all other rights, including the exclusive, unrestricted right, in its discretion, directly and indirectly, itself and through its employees, Affiliates, representatives, licensees, franchisees, assigns, agents and others:
- (a) to develop, own and/or operate and to franchise or license others to own and/or operate (i) Restaurants, the physical location of which are located outside of the Development Area, regardless of proximity to the Development Area, (ii) businesses that provide goods and services within and outside of the Development Area, regardless of proximity to the Development Area under names other than "Angry Chickz," (iii) Restaurants and other businesses at Non-Traditional Venues within or outside the Development Area, and regardless of their proximity to any Restaurant developed or under development or consideration by Developer; and (iv) businesses operating under names other than under the Marks at any location, and of any type whatsoever, regardless of their proximity to the Development Area and whether or not such businesses use any portion of the System, offer similar products or services or compete with Restaurants.

What This Means (2025 FDD)
According to Angry Chickz's 2025 Franchise Disclosure Document, the company retains the right to operate Restaurants at Non-Traditional Venues within or outside the Development Area. This means that while a developer may have rights to develop Dine-In Restaurants within a specific Development Area, Angry Chickz reserves the right to operate or franchise others to operate Restaurants at Non-Traditional Venues such as airports, universities, or food courts, regardless of their proximity to any Restaurant developed or under development by the developer.
This reservation of rights extends beyond Non-Traditional Venues, as Angry Chickz also retains the right to develop, own, and franchise businesses that provide goods and services both within and outside the Development Area under names other than "Angry Chickz." They can also operate businesses under different names at any location, regardless of proximity to the Development Area, even if these businesses compete with existing Angry Chickz Restaurants.
For a prospective Angry Chickz developer, this means that while they are granted certain territorial rights for Dine-In Restaurants, Angry Chickz maintains significant control over other potential business opportunities within and around the Development Area. The developer's rights are specifically limited to Dine-In Restaurants, and they have no rights to develop Restaurants at Non-Traditional Venues. This could impact the potential market and revenue streams available to the developer, as Angry Chickz could potentially establish competing locations or alternative business models within the same area.
