What This Means (2025 FDD)
According to Angry Chickz's 2025 Franchise Disclosure Document, each participating member of a Co-op Advertising Region is entitled to one vote for each Restaurant they have located within that region. Alternatively, the member may have such other vote as reasonably determined by Angry Chickz. This means that a franchisee's voting power in the Co-op is directly tied to the number of Angry Chickz restaurants they operate within the region, unless the company decides to allocate votes differently.
This voting structure impacts a franchisee's ability to influence advertising and marketing strategies within their Co-op Advertising Region. Franchisees with more locations will have a greater say in how the co-op funds are used, giving them more influence over local advertising campaigns and marketing efforts. However, Angry Chickz retains the right to determine an alternative voting structure, which could potentially dilute the voting power of franchisees with multiple locations.
It's important to note that the Co-op Advertising Region's decisions are subject to approval by Angry Chickz. While the company states that it will not withhold approval unreasonably, it maintains control over the final advertising placements and fund commitments. Franchisees should be aware of this oversight role, as it ensures brand consistency and adherence to company standards across all advertising efforts. Franchisees should seek clarification from Angry Chickz regarding how the company determines alternative voting structures and under what circumstances they might be implemented.
