What This Means (2025 FDD)
According to the 2025 Angry Chickz Franchise Disclosure Document, the resolution of conflicts between the addendum and the franchise agreement depends on the specific state where the franchise is located. For franchisees in Washington, the provisions of the Washington Franchise Investment Protection Act will take precedence in case of conflicting laws. Additionally, RCW 19.100.180, which outlines franchisee rights, may override terms in the franchise agreement regarding termination and renewal. Court decisions can also supersede the franchise agreement. The arbitration or mediation site will be in Washington or a mutually agreed-upon location. Franchisees can also bring legal action in Washington for issues related to franchise sales or violations of the Washington Franchise Investment Protection Act.
For franchisees in Illinois, the Illinois Franchise Disclosure Act takes precedence. Specifically, any provision that designates jurisdiction and venue outside of Illinois is void, although arbitration may occur outside the state. Furthermore, any attempt to waive compliance with the Illinois Franchise Disclosure Act or any other Illinois law is invalid. The Illinois Attorney General's Office requires that initial fees are deferred until Angry Chickz satisfies pre-opening obligations and the business opens, due to the franchisor's financial condition.
In Virginia, the addendum forms an integral part of, and is incorporated into, the Franchise Agreement. The addendum is executed because the franchise offer or sale was made in Virginia, the franchisee is a resident of Virginia, or the franchised business will be located in Virginia. The addendum states that no statement, questionnaire, or acknowledgment can waive claims under state franchise law, including fraud, or disclaim reliance on franchisor statements, superseding any conflicting terms in any document related to the franchise. Except as modified by the addendum, the Franchise Agreement remains valid and enforceable.
