All ideas, concepts, techniques or materials relating to a Restaurant ("Developments"), whether or not protectable intellectual property and whether created by or for Franchisee or its Owners, employees or contractors, must be promptly disclosed to Company and will be deemed to be Company's sole and exclusive property and works madefor-hire for Company.
To the extent any Development does not qualify as a "work made-for-hire" for Company, by this section, Franchisee hereby assigns and shall assign ownership of that item, and all related rights to that item, to Company and agrees to sign (and cause its Owners, employees and contractors to sign) whatever assignment or other documents Company requests to evidence Company's ownership and to help Company obtain intellectual property rights in the item.
Franchisee may not use any Development in operating the Franchised Business or otherwise without Company's prior written approval.

What This Means (2025 FDD)
According to the 2025 Angry Chickz Franchise Disclosure Document, any ideas, concepts, techniques, or materials related to a restaurant, referred to as "Developments," are considered Angry Chickz's sole and exclusive property, regardless of whether they are protectable intellectual property. This includes Developments created by or for the franchisee, their owners, employees, or contractors.
The franchisee must promptly disclose any Developments to Angry Chickz. These Developments are automatically deemed works made-for-hire for Angry Chickz. If any Development does not legally qualify as a work-made-for-hire, the franchisee is obligated to assign ownership of the item and all related rights to Angry Chickz.
Furthermore, the franchisee must sign (and ensure that their owners, employees, and contractors sign) any assignment or other documents that Angry Chickz requests to evidence their ownership and to help Angry Chickz secure intellectual property rights in the item. The franchisee is also prohibited from using any Development in operating the franchised business or otherwise without Angry Chickz's prior written approval. This ensures that all intellectual property related to the Angry Chickz brand remains under the control and ownership of the company.
