What This Means (2025 FDD)
According to Angry Chickz's 2025 Franchise Disclosure Document, a developer must provide written notice to the company within 5 days of the commencement of a Force Majeure event. This notice must include the words "force majeure" and explicitly describe the specific nature and extent of the Force Majeure, and how it has impacted the developer's performance.
This notification requirement is critical for an Angry Chickz developer because failure to notify the company within the 5-day period constitutes a waiver of the right to claim Force Majeure. This means that if a developer experiences an event that prevents them from meeting their development obligations, such as a natural disaster or government regulation, they must promptly inform Angry Chickz to potentially receive an extension on their development period.
The developer is also obligated to continue providing Angry Chickz with updates and all information requested regarding the Force Majeure event, including progress in responding to and overcoming the event, and its eventual cessation. This ongoing communication ensures that Angry Chickz is kept informed of the situation and can work with the developer to mitigate any potential delays or disruptions to the development schedule.
In the franchise industry, it is common for franchise agreements to include Force Majeure clauses that protect both the franchisor and franchisee from unforeseen circumstances. The specific notification deadlines and requirements can vary, so it is important for prospective franchisees to carefully review the Force Majeure provisions in their franchise agreements and understand their obligations in the event of such an occurrence.
