What This Means (2025 FDD)
According to Anago's 2025 Franchise Disclosure Document, the term "Related Materials" within the NBDS License Agreement refers to printed materials that are not software programs. These materials include items such as software user instructions. To be considered "Related Materials," Anago must designate them as available under license to the subfranchisor for the licensed software they relate to.
Anago grants the subfranchisor a non-transferable and non-exclusive license to use both the software and the related materials. This license remains in effect for the term of the agreement, provided the Subfranchise Rights Agreement is also in full force. Upon the termination or expiration of the agreement, the subfranchisor is obligated to return all software and related materials, including any copies, translations, or compilations, to Anago.
It's important to note that Anago does not provide any warranties that the software or related materials will be free of defects, meet all of the subfranchisor's requirements, be compatible with unapproved hardware or third-party software, or be available for uninterrupted use. The subfranchisor also has a confidentiality obligation, preventing them from providing or making available any portion of the software or related materials to anyone except employees with a need to know who are bound by similar confidentiality obligations. The subfranchisor is also prohibited from reverse assembling or reverse compiling the software.
