franchises for the operation of a janitorial and other facilities-related services business (each a "Unit Franchise") and to provide services to your Unit Franchisees. You will be required to enter into a Unit Franchise Agreement in substantially the form attached as Exhibit I to the form of Anago Subfranchise Rights Agreement (see Exhibit A to this Disclosure Document) with each of your Unit Franchisees and to comply with your obligations as subfranchisor under those agreements, including entering into commercial janitorial and other facilities-related service contracts and assigning the performance of services under those contracts to your Unit Franchisees. Each Unit Franchise Agreement will authorize the Unit Franchisee to use the Anago trademarks, trade names, service marks, trade secrets, programs, materials and procedures in the operation of services businesses that are focused primarily on janitorial services but offering other facilities-related services that are, from time to time, approved to be part of the portfolio of services offered by Anago-branded businesses (the "System"). We do not offer under this Disclosure Document the right to acquire or operate a Unit Franchise nor are you obligated or permitted to do so under this Disclosure Document.

What This Means (2025 FDD)

According to Anago's 2025 Franchise Disclosure Document, as a subfranchisor, you are required to enter into a Unit Franchise Agreement with each of your Unit Franchisees. This agreement must be substantially similar to the form attached as Exhibit I to the Anago Subfranchise Rights Agreement.

Your obligations as a subfranchisor include entering into commercial janitorial and other facilities-related service contracts and assigning the performance of services under those contracts to your Unit Franchisees. This means you are responsible for securing cleaning contracts and then delegating the actual cleaning work to the individual unit franchisees you recruit.

The Unit Franchise Agreement authorizes the Unit Franchisee to use Anago's trademarks, trade names, service marks, trade secrets, programs, materials, and procedures. This authorization allows them to operate service businesses focused primarily on janitorial services, but also offering other facilities-related services approved by Anago. Anago subfranchisors are not offered the right to acquire or operate a Unit Franchise under this Disclosure Document, nor are they obligated or permitted to do so.
