What This Means (2025 FDD)
According to Anago's 2025 Franchise Disclosure Document, franchisees are required to treat the Anago Manuals as confidential. Anago and ACS claim copyrights in the Anago Manuals and the information contained within them, considering them proprietary property. Franchisees must use all reasonable efforts to keep this information secret and confidential. They are also required to promptly inform Anago if they become aware of any unauthorized use of this proprietary information. However, neither Anago nor ACS is obligated to take any action in response to such information but will respond as they deem appropriate.
Anago provides franchisees with confidential information, including the Anago Manuals, necessary for operating their Anago Subfranchise Rights Business. Franchisees are prohibited from communicating, divulging, or using any confidential information, trade secrets, knowledge, or know-how concerning the operational methods of the franchise system. This includes client, product, sales, pricing, and merchandising systems information. Disclosure of confidential information is restricted to employees who need access to operate the Anago Subfranchise Rights Business and to Unit Franchisees within their area, as authorized by the Subfranchise Rights Agreement.
All individuals permitted access to the Anago Manuals or any other confidential information must first sign Anago's confidentiality agreement. These agreements must identify Anago as a third-party beneficiary with the independent right to enforce them. Additionally, franchisees are prohibited from copying the Anago Manuals for distribution to any person, entity, or established business group outside the Anago system. This ensures that the proprietary information remains within the Anago franchise network and is not disseminated to competitors or unauthorized parties.
These confidentiality measures are typical in franchising to protect the franchisor's trade secrets and operational methods. By requiring franchisees and their employees to maintain confidentiality, Anago aims to preserve its competitive advantage and the integrity of its franchise system. Prospective franchisees should carefully review the confidentiality agreement and understand their obligations regarding the use and protection of Anago's proprietary information.
