- This conditional agreement will become effective automatically upon termination or expiration of Assignor's SRA. Upon the occurrence of one of these conditions, Assignor must do all things required by Assignee and the telephone company to assure the effectiveness of the assignment of telephone numbers as if the Assignee had been originally issued such telephone numbers, listings and the usage thereof.

According to Anago's 2025 Franchise Disclosure Document, a conditional agreement regarding telephone numbers becomes effective automatically upon the termination or expiration of the Assignor's Anago Subfranchise Rights Agreement (SRA). Upon either of these conditions occurring, the Assignor is obligated to take all necessary actions required by Anago and the telephone company to ensure the assignment of telephone numbers is effective, as if Anago were the original recipient of those numbers and listings.
This means that when an Anago subfranchise agreement ends, whether through its natural expiration or earlier termination, the rights to the telephone numbers associated with that subfranchise business conditionally transfer to Anago. The subfranchisee (Assignor) must then cooperate fully to make this transfer seamless.
This provision protects Anago by ensuring that upon the end of a subfranchise agreement, the phone numbers used for the business revert to Anago, maintaining continuity for customers and preventing the former subfranchisee from using those numbers to compete or cause confusion in the marketplace. The subfranchisee is responsible for paying all outstanding amounts for the use of the telephone numbers up to the effective date of assignment and must indemnify Anago for any costs Anago incurs to effectuate the agreement.
