What This Means (2025 FDD)
According to Anago's 2025 Franchise Disclosure Document, breaches of confidentiality and noncompetition agreements can have significant repercussions for a franchisee. Specifically, if a franchisee violates the confidentiality and noncompetition covenants outlined in Sections 6.2 or 13.1 of the franchise agreement, Anago has the right to terminate the agreement immediately without providing an opportunity to correct the breach. This termination is effective upon notice. This means the franchisee would immediately lose the right to operate their Anago franchise.
This immediate termination can have a direct and severe impact on a franchisee's receipts. Upon termination, the franchisee loses all rights to the revenue stream generated by the Anago franchise. They can no longer provide services under the Anago brand, and therefore, they will not receive any further income from that business. The franchisee also risks losing the value of the business they have built, as the franchise rights revert back to Anago.
Moreover, Anago emphasizes the importance of these covenants by stating that a franchisee's agreement to them is a material inducement for Anago to enter into the franchise agreement. This highlights the seriousness with which Anago views these obligations and the potential consequences of their breach. Prospective franchisees should carefully review and understand these sections of the franchise agreement to avoid actions that could lead to termination and loss of income.
