What This Means (2025 FDD)

According to Amorino's 2025 Franchise Disclosure Document, the insurance policy must contain a waiver of subrogation in favor of Amorino and its Affiliates, including their respective partners, members, shareholders, directors, managers, officers, agents, and employees. This waiver means that the insurance company will not have the right to pursue Amorino or its affiliates to recover any payments made on a claim.

This requirement is included in the insurance obligations outlined in the franchise agreement. During construction, the franchisee is required to maintain general liability and property damage insurance that protects the franchisee, Amorino, and its Affiliates as additional insureds.

The policy must also provide contractual indemnification coverage. Declaration pages for the insurance policy, evidencing the required coverage and waiver, must be provided to Amorino before construction begins. This ensures that Amorino and its Affiliates are protected from potential liabilities arising from the franchisee's operations.
