What are the terms of the license granted to Amorino by CPG to use the trademarks?
Amorino Franchise · 2025 FDDAnswer from 2025 FDD Document
In early 2020, CPG granted us a license to use the above trademarks to own and operate, and to grant sublicenses to franchisees to own and operate in accordance with their franchise agreements, retail stores to sell the goods and services covered by such trademarks. Such license is for a twentyyear term, after which period the parties agree to meet to discuss conditions for renewal.
Other than the limitation on duration of the license set forth in the license agreement, there are no agreements currently in effect that significantly limit our right to use or license the use of the Proprietary Marks in any manner material to the franchise.

What This Means (2025 FDD)
According to Amorino's 2025 Franchise Disclosure Document, CPG granted Amorino a license to use its trademarks. This license allows Amorino to operate and sublicense franchisees to operate retail stores that sell goods and services covered by the trademarks. The license has a term of twenty years, after which Amorino and CPG will discuss renewal conditions.
Besides the duration, there are no other agreements that significantly limit Amorino's right to use or license the Proprietary Marks in any way that would be material to the franchise. This means Amorino has broad authority to allow its franchisees to use the trademarks to operate their businesses.
As a franchisee, you must adhere to Amorino's rules when using the Proprietary Marks. You cannot use any Proprietary Mark as part of any business entity name or with any prefix, suffix or other modifying words, terms, designs or symbols (other than logos licensed by Amorino to you). You also cannot use any Proprietary Mark in selling any unauthorized service or in any other manner Amorino has not explicitly authorized in writing. You may not, in any way, alter Amorino's Proprietary Marks in color, proportions, or by adding, deleting, or modifying the Proprietary Marks in any way.
These restrictions are typical in franchising, as franchisors need to protect their brand identity and ensure consistent use of their trademarks across all locations. Franchisees must be vigilant about trademark usage and report any potential infringements to Amorino, allowing them to take appropriate action.
