What skills, qualifications, and economic resources must an assignee demonstrate to Amorino to be considered for assignment?

According to Amorino's 2025 Franchise Disclosure Document, if an Area Developer seeks to assign their franchise agreement, the proposed transferee must meet specific criteria to gain Amorino's approval. The transferee needs to demonstrate that they meet Amorino's standards for education, management, and business acumen. They must also possess a good moral character, business reputation, and credit rating.

Furthermore, the potential transferee must show they have the aptitude and ability to successfully manage the Amorino franchised business. This includes having adequate financial resources and capital to effectively operate the store. The transferee should also reside or be based near the store location. Essentially, the transferee must satisfy all of Amorino's then-current criteria for selecting new franchisees.

In addition to these qualifications, the Area Developer must ensure all financial obligations to Amorino and its affiliates are current and that they are in full compliance with all agreements. The Area Developer must also submit a completed "Amorino Transfer Disclosure Form" along with the proposed transfer agreements and lease agreement at least 30 days before the proposed transfer. Amorino will then assess whether the terms of the sale will negatively impact the franchised business's viability post-transfer. If these conditions are not met, Amorino can withhold consent for the assignment.
