What This Means (2025 FDD)
According to Amorino's 2025 Franchise Disclosure Document, Amorino is not restricted from operating other businesses under different trademarks or service marks. The FDD specifies that Amorino retains the right to own, acquire, establish, operate, or grant franchise rights for other businesses using trademarks different from the Amorino brand. This clause clarifies that Amorino can diversify its business interests without being limited to the Amorino brand alone.
This provision is included in the franchise agreement to define the scope of the franchisee's rights and to ensure that Amorino maintains flexibility in its business operations. While a franchisee is granted specific rights within their protected area, Amorino reserves all other rights, including the ability to operate other businesses under different brands. This is a fairly standard practice in franchising, allowing franchisors to explore new markets or business models without impacting existing franchise agreements.
For a prospective Amorino franchisee, this means that Amorino could potentially operate other similar or different businesses under different brand names, even in the same general area as their franchise (outside of the franchisee's protected territory). This does not necessarily pose a direct competitive threat within the franchisee's protected area, but it does mean that Amorino is not restricted from diversifying its business interests beyond the Amorino brand. Franchisees should be aware of this clause and consider its potential impact on the overall market and Amorino's focus on the Amorino brand.
