What is Amorino prohibited from doing within an Area Developer's exclusive territory?

According to Amorino's 2025 Franchise Disclosure Document, if you sign an Area Development Agreement, Amorino grants you the exclusive right to open multiple stores within a specified geographic area, following an agreed-upon development schedule. This territory is typically defined by state, county, city boundaries, zip codes, or geographical features like rivers or highways.

Within the Area Development territory, Amorino is restricted from franchising or licensing others to operate an Amorino store. Additionally, Amorino cannot directly or indirectly develop, own, lease, construct, or operate an Amorino store within the area covered by the Area Development territory. This provision ensures that the Area Developer has the exclusive right to establish Amorino stores within the agreed-upon territory, protecting their investment and market share.

However, Amorino retains the right to offer similar or dissimilar services or products within the Area Development territory through alternative channels of distribution. This means that while Amorino cannot open competing Amorino stores, they can still distribute products through other avenues such as grocery stores or online sales. This is a common practice in franchising, allowing the franchisor to explore additional revenue streams without directly infringing on the franchisee's territory.
