What This Means (2025 FDD)

According to Amorino's 2025 Franchise Disclosure Document, the term "Copyrighted Materials" encompasses a range of items that Amorino owns and has fixed in a tangible form. These include copyrights, advertising and promotional materials, practices, training materials, product packaging, operations manuals (including the Manual), and other works of authorship.

For a prospective franchisee, this means that all these materials are protected by copyright law, and Amorino retains ownership of them. Franchisees are granted the right to use these materials solely in connection with operating their franchised business, but they cannot claim any ownership interest. This is a standard practice in franchising, where the franchisor provides marketing, training, and operational resources to ensure brand consistency.

The franchisee's use of the Copyrighted Materials is limited to what is expressly authorized in the franchise agreement. Any unauthorized use could be considered an infringement of Amorino's rights. Upon termination or expiration of the franchise agreement, the right to use these materials ceases, and no monetary value is assigned to any goodwill associated with their use. This underscores the importance of adhering to the franchise agreement and understanding the scope of permitted usage.
