What This Means (2025 FDD)

According to Amorino's 2025 Franchise Disclosure Document, if there is any litigation relating to the franchisee's use of Proprietary Marks or Copyrighted Materials, the franchisee must execute any and all documents and do such acts as may, in the opinion of Amorino, be necessary to carry out such defense or prosecution, including becoming a nominal party to any legal action.

Amorino retains the right to direct, control, and settle any dispute, proceeding, or litigation involving the Proprietary Marks or Copyrighted Materials. Amorino will defend the franchisee against any third-party claim, suit, or demand arising out of the franchisee's use of the Proprietary Marks or the Copyrighted Materials at its own expense, provided that Amorino determines that the franchisee has used the Proprietary Marks and Copyrighted Materials in accordance with the Franchise Agreement.

However, if the litigation results from the franchisee's use of the Proprietary Marks or Copyrighted Materials in a manner inconsistent with the terms of the Franchise Agreement, the franchisee may not be entitled to defense or reimbursement of associated costs. This underscores the importance of adhering strictly to Amorino's guidelines and standards in using their intellectual property. Franchisees should ensure they fully understand and comply with the terms of the agreement to avoid potential legal issues and financial liabilities.
