What This Means (2025 FDD)
According to Amorino's 2025 Franchise Disclosure Document, the non-competition covenant lasts for a two-year uninterrupted period after the expiration or termination of the franchise agreement. During this period, the franchisee, including its officers, directors, shareholders, or partners, is restricted from certain activities.
Specifically, the franchisee is prohibited from diverting customers or suppliers of any Amorino store to competitors, employing individuals who were recently employed by Amorino, and engaging in any business involved in the production or sale of gelato or similar products. These restrictions apply within the United States, its territories, and commonwealths, as well as any other country, province, state, or geographic area where the former store was located, within the former protected area (or a three-mile radius if no protected area existed), within a three-mile radius of any other Amorino store, or anywhere within the former territory.
This non-compete clause is fairly standard in franchising to protect the brand and its franchisees from unfair competition by former franchisees who have gained knowledge and experience operating within the Amorino system. Prospective franchisees should carefully consider the implications of this restriction, especially if they plan to remain in the same geographic area after the franchise term ends.
