What criteria must suppliers meet to be approved by Amorino?

You shall purchase all other products, equipment (including refrigerators, freezers and blenders), supplies and materials used or sold by the Franchised Business, including the Proprietary Products, solely from suppliers (including Amorino, or its Affiliates, and manufacturers, wholesalers, and distributors) who demonstrate, to Amorino's continuing reasonable satisfaction, the ability to meet Amorino's reasonable standards and specifications for such items, who possess adequate quality controls and capacity to supply your needs promptly and reliably, and who have been approved by Amorino in the Manual or otherwise in writing and not thereafter disapproved.
You are required to purchase the majority of the Amorino Goods and Services from our Affiliate -18° and our Affiliate Amorino Trading, LLC.
You may purchase Amorino Goods and Services only from suppliers designated by Amorino and who may be Affiliates of Amorino.
You acknowledge and agree that Amorino and its Affiliates may negotiate purchase arrangements with suppliers for your benefit and may derive revenue or obtain rebates, bulk pricing discounts or allowances for their own account from approved or designated suppliers if rebates or other considerations become available because of your purchases of products or services.
Amorino may from time to time re-inspect and re-evaluate the facilities and products of any approved supplier and revoke its general approval of particular products or suppliers when
Amorino determines, in its sole discretion, that such products or suppliers no longer meet Amorino's standards or for other business reasons. Upon receipt of written notice of such revocation, you shall cease to sell any disapproved products and cease to purchase from any disapproved supplier.

What This Means (2025 FDD)
According to Amorino's 2025 Franchise Disclosure Document, to become an approved supplier, vendors must demonstrate the ability to meet Amorino's standards and specifications for the items they provide. They also need to have adequate quality controls and the capacity to supply the franchisee's needs promptly and reliably. Amorino must approve the supplier in writing, either in the Manual or otherwise, and the supplier must not be subsequently disapproved.
Amorino retains the right to re-inspect and re-evaluate the facilities and products of any approved supplier. If Amorino determines that a supplier or its products no longer meet their standards, or for other business reasons, Amorino can revoke its approval. In such cases, franchisees must cease purchasing from the disapproved supplier and stop selling any disapproved products upon receiving written notice of the revocation.
Notably, franchisees are required to purchase the majority of Amorino Goods and Services from Amorino's affiliates, -18° and Amorino Trading, LLC. Franchisees may only purchase Amorino Goods and Services from suppliers designated by Amorino, who may be Amorino's affiliates. Amorino and its affiliates may negotiate purchase arrangements with suppliers for the franchisee's benefit and may receive revenue, rebates, or discounts from approved or designated suppliers based on the franchisee's purchases.
