What This Means (2025 FDD)
According to Amorino's 2025 Franchise Disclosure Document, Amorino claims copyright protection of its Manual. Amorino also asserts copyright protection for its plans and designs, other manuals and procedures, written materials, software information system features and source code, curriculums, and photos and videos and related materials.
The FDD states that these items may not have been registered with the United States Registrar of Copyrights. However, Amorino considers these items proprietary and confidential and its property. Franchisees are permitted to use these materials only as specified in the franchise agreement.
The franchise agreement also stipulates that any new concepts, processes, or improvements developed by the franchisee, their employees, or principals in the operation or promotion of the store must be promptly reported to Amorino and become Amorino's sole property, including all related intellectual property rights. This means that while franchisees receive the right to use Amorino's copyrighted materials, any innovations they create related to the business automatically become the property of Amorino.
