What This Means (2025 FDD)

According to the 2025 Amerispec Inspection Services FDD, the term "office" generally refers to the principal business office established by the franchisee. This is where the franchisee conducts the primary operations of their Amerispec Inspection Services business.

However, there is an exception in Paragraph 15 of the franchise agreement. In that specific context, "office" refers to any office used by the franchisee during the two-year period prior to the termination or expiration of the agreement, or the assignment of the agreement or the franchised business. This distinction is important because it broadens the scope of what is considered an "office" in the context of termination, expiration, or assignment, potentially impacting obligations or restrictions the franchisee may have.

This definition clarifies that Amerispec Inspection Services franchisees must consider not only their current principal office but also any past offices used in the recent past when dealing with the end of their franchise relationship or its transfer. This could affect non-compete clauses, customer solicitation restrictions, or other post-termination obligations, so franchisees should be aware of this broader definition.
