What This Means (2025 FDD)

According to the 2025 Amerispec Inspection Services FDD, Amerispec Inspection Services does have the ability to prevent a franchisee from assigning their interest in the franchise to another entity under certain conditions. Specifically, Amerispec Inspection Services can block a transfer to any entity that is competitive with Amerispec Inspection Services.

Additionally, if the assignment would transfer one-half or more of the beneficial interest in the franchise, Amerispec Inspection Services will not unreasonably withhold consent, provided certain conditions are met. These conditions include the assignee demonstrating good moral character, a good credit rating, financial capabilities, and competent business qualifications. The assignee or their designated representative must also complete Amerispec Inspection Services' training program and pay the associated training fee.

Furthermore, the assignee must agree in writing to assume all of the franchisee's obligations under the agreement, remedy any existing defaults, and meet Amerispec Inspection Services' current standards for franchisees. The assignee must also update the computer system to Amerispec Inspection Services' current standards, and both parties must execute a general release of Amerispec Inspection Services and its officers and directors. These stipulations ensure that any transfer maintains the standards and integrity of the Amerispec Inspection Services franchise system.
