We are not obligated, by the Franchise Agreement or otherwise, to protect your right to use any Marks. However, we will protect you against claims of infringement or unfair competition that might be made against you from your use of the Marks as long as you are properly using them. We may, in this situation, take any action we think is appropriate to handle the claim.

What This Means (2025 FDD)
According to Amerispec Inspection Services's 2025 Franchise Disclosure Document, Amerispec Inspection Services is not obligated by the Franchise Agreement or otherwise to protect a franchisee's right to use any Marks. However, Amerispec Inspection Services will protect a franchisee against claims of infringement or unfair competition that might be made against them from their use of the Marks as long as they are properly using them. In such a situation, Amerispec Inspection Services may take any action it deems appropriate to handle the claim.
This means that while Amerispec Inspection Services does not have a contractual obligation to proactively defend a franchisee's right to use the trademarks, it will step in to defend the franchisee against claims of infringement or unfair competition, provided the franchisee is using the marks properly. This provides a level of protection for the franchisee, but it is not a guarantee that Amerispec Inspection Services will take action in every situation where the franchisee's use of the marks is challenged.
It is important for a prospective Amerispec Inspection Services franchisee to understand the extent and limitations of the trademark protection offered by the franchisor. While the franchisor will defend against claims of infringement, they are not obligated to proactively protect the franchisee's right to use the marks. This means that the franchisee may need to take their own steps to protect their use of the marks, such as monitoring for potential infringements and taking action against infringers. Franchisees should ensure they understand what constitutes 'proper use' of the marks to ensure they are covered by Amerispec Inspection Services's protection against claims.
