What happens if an Amerispec Inspection Services franchisee breaches the software agreement?

According to Amerispec Inspection Services's 2025 Franchise Disclosure Document, a breach of the software agreement by a franchisee can lead to serious consequences. Specifically, Amerispec Inspection Services reserves the right to terminate the software agreement and/or the Franchise Agreement if the breach is not resolved within thirty days after the franchisee receives written notice of the breach. This means that a franchisee's failure to comply with the terms of the software agreement could jeopardize their entire franchise operation.

Upon termination of the software agreement for any reason, Amerispec Inspection Services will immediately terminate the franchisee's access to the software. This could significantly impact the franchisee's ability to conduct business, as the software system is integral to the System of Operation. The franchisee is responsible for using the specified software system, including business contact management and inspection software, and maintaining compatibility with Amerispec Inspection Services's computer systems.

Furthermore, the software is acknowledged as proprietary to Amerispec Inspection Services and/or its licensor, representing valuable intellectual property. Franchisees are obligated to maintain the confidentiality of the software and related information, even after the termination or expiration of the agreement. Any default under the software agreement also constitutes a default under the Franchise Agreement, reinforcing the importance of adhering to the software agreement's terms. Upon termination or expiration of the franchise, the franchisee must return all copies of the software to Amerispec Inspection Services.
