A breach of this Agreement by Franchisee is grounds for termination of this Agreement and/or the Franchise Agreement, if the breach remains uncured thirty (30) days after written notice of the breach was provided to Franchisee.

This Agreement terminates immediately upon termination of the Franchise Agreement between the parties.

Upon termination for any reason, Franchisee access to this software will be terminated by AmeriSpec.

Furthermore, the software is acknowledged as proprietary to Amerispec Inspection Services and/or its licensor, representing valuable intellectual property. Franchisees are obligated to maintain the confidentiality of the software and related information, even after the termination or expiration of the agreement. Any default under the software agreement also constitutes a default under the Franchise Agreement, reinforcing the importance of adhering to the software agreement's terms. Upon termination or expiration of the franchise, the franchisee must return all copies of the software to Amerispec Inspection Services.
