As part of the Acquisition, (i) we became the franchisor of the AmeriSpec ® system; (ii) Immediate Predecessor assigned to us all existing AmeriSpec ® franchise agreements and related agreements; and (iii) Immediate Predecessor assigned ownership of all Marks (as defined below) and certain intellectual property relating to the operation of AmeriSpec ® franchises to us.

What This Means (2025 FDD)
According to the 2025 AmeriSpec Inspection Services FDD, as part of the Acquisition that occurred on March 31, 2023, AMERISPEC SPE LLC ("Immediate Predecessor") assigned all existing AmeriSpec franchise agreements to TCB AmeriSpec, LLC, the current franchisor. This means that the new ownership group, led by TCB Services HoldCo, LLC, took over the existing franchise agreements. The Acquisition also included the transfer of ownership of all AmeriSpec trademarks and certain intellectual property related to the operation of AmeriSpec franchises to TCB AmeriSpec, LLC.
For a prospective franchisee, this means that the franchise agreements are now managed and enforced by TCB AmeriSpec, LLC. The Guarantor, TCB Services HoldCo, LLC, guarantees the performance of AmeriSpec Inspection Services' obligations under these franchise agreements. This change in ownership and management could bring new strategies, resources, and support systems to the franchise network.
It is important for potential franchisees to understand who the franchisor is and their obligations. The FDD clearly defines "we," "us," "our," or "Franchisor" as TCB AmeriSpec, LLC, and "you," "your," or "Franchisee" as the person or entity purchasing the franchise. This clarification helps avoid confusion about the parties involved in the franchise agreement. Existing franchisees purchasing additional Franchised Businesses must sign the then-current Franchise Agreement.
