What This Means (2025 FDD)
According to Amerispec Inspection Services's 2025 Franchise Disclosure Document, specifically the addendum for Illinois, any provision in the franchise agreement that designates jurisdiction and venue in a forum outside of Illinois is void. This is in direct conformance with Section 4 of the Illinois Franchise Disclosure Act. This means that if a dispute arises that leads to litigation, the case must be heard within the state of Illinois, protecting franchisees from having to travel to a potentially distant and inconvenient location.
However, the addendum clarifies an important exception: the franchise agreement may still provide for arbitration to take place outside of Illinois. Arbitration is a form of alternative dispute resolution that is often faster and less expensive than traditional litigation. While the location of litigation is restricted to Illinois, Amerispec Inspection Services franchisees may be required to participate in arbitration proceedings in another state if the franchise agreement stipulates it.
Furthermore, the Illinois Franchise Disclosure Act ensures that franchisees cannot waive their rights under the Act or any other Illinois law. This protection reinforces the franchisee's legal standing and prevents Amerispec Inspection Services from including clauses that might force franchisees to unknowingly surrender their rights. The Illinois addendum ensures that the franchise agreement is interpreted and enforced in accordance with Illinois law, except for matters explicitly governed by the Illinois Franchise Disclosure Act itself.
