Can either AmeriSpec Inspection Services or the franchisee terminate the email agreement without cause?

Either party may terminate this Agreement without cause upon 30 days' notice.

AmeriSpec may terminate this Agreement immediately for good cause, including but not limited to violation of, or failure to follow, the guidelines as set forth herein or for failure to comply with the material terms of the Franchise Agreement between the parties.

This Agreement and all rights granted herein shall

automatically terminate, without further notice, upon either the termination or expiration of the Franchise Agreement between the parties. This Agreement and all rights granted herein shall also automatically terminate, without further notice, upon Assignment (as defined in the Franchise Agreement) of the Franchisee's AmeriSpec franchise, unless the Assignment merely transfers ownership of the AmeriSpec franchise from an individual owner(s) to a Corporation or other legal business entity and the Franchisee retains majority ownership of that entity.

What This Means (2025 FDD)

According to AmeriSpec Inspection Services's 2025 Franchise Disclosure Document, both AmeriSpec Inspection Services and the franchisee have the right to terminate the email agreement without providing a specific reason. To do so, either party must give the other a 30 days' notice.

However, AmeriSpec Inspection Services can terminate the agreement immediately if there is good cause, including violating guidelines or failing to comply with the terms of the Franchise Agreement. The email agreement also terminates automatically if the Franchise Agreement between the parties terminates or expires, or if the franchise is assigned to a new owner (with a specific exception).
