What This Means (2025 FDD)

According to the 2025 Amerispec Inspection Services Franchise Disclosure Document, the franchise agreement does not explicitly specify geographic limitations regarding the assignment of inventions or intellectual property. However, the document states that the franchisee acknowledges the software used in the business is proprietary to Amerispec Inspection Services and/or its licensor and has been developed as valuable intellectual property. The franchisee is granted a license to use this software, but no right, title, or interest in the software, including any associated patents, copyrights, trade secrets, trademarks, trade names, or other intellectual property, is conveyed or assigned to the franchisee.

This means that while franchisees operate within a designated territory, any inventions or intellectual property created using the software or within the scope of the franchise agreement generally remain the property of Amerispec Inspection Services. The franchisee's rights are limited to the use of the licensed software and the operation of the franchise under the terms defined by the agreement.

The agreement emphasizes that the franchisee must maintain the goodwill associated with the Amerispec Inspection Services names and marks, further suggesting that any intellectual property created during the franchise operation would likely be subject to the franchisor's control. The franchisee's ability to assign the agreement is also limited, requiring prior written consent from Amerispec Inspection Services, which reinforces the franchisor's control over the franchise and its associated assets.

Therefore, while there are no explicit geographic limitations on intellectual property assignment, the overall structure of the franchise agreement ensures that Amerispec Inspection Services retains ownership and control over the intellectual property associated with the brand and its operations, regardless of where the franchise is located.
